Terms of Use

These Website Terms of Use (“Terms”) govern your access to and use of the website located at www.ocbeachteacher.com and any related pages, content, features, downloadable resources, and services (collectively, the “Site”) operated by OCBeachTeacher LLC (“OCBeachTeacher,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms are in addition to our Privacy Policy (link) and any other policies or guidelines we post.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site. If you use the Site on behalf of a school, district, or other organization, you represent that you have authority to bind that organization to these Terms.

2. Changes to the Site or Terms

We may modify the Site or these Terms at any time. Changes are effective when posted with an updated “Last Updated” date. Your continued use of the Site after changes means you accept the revised Terms.

4. Purchases; Subscriptions; Payments 

  • Any prices and billing terms will be disclosed at checkout.
  • You authorize us (and our payment processors) to charge your payment method for applicable fees and taxes.
  • All sales are final unless we expressly state otherwise in writing or as required by applicable law.
  • We may change pricing or offerings prospectively.

5. License to Use the Site

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal educational purposes. We reserve all rights not expressly granted.

6. Downloadable Resources; License and Restrictions

The Site may provide downloadable lesson plans, worksheets, slides, assessments, rubrics, templates, games and other materials (collectively, “Resources”).

6.1 License Grant

Unless otherwise stated on the Site or in a specific license accompanying a Resource, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • download and use the Resources for your own classroom, instructional, or internal educational purposes, and
  • reproduce the Resources in reasonable quantities for use with your students.

6.2 Restrictions

Except as expressly permitted in writing by OCBeachTeacher, you may not:

  • sell, resell, rent, lease, sublicense, distribute, or otherwise commercialize any Resource;
  • post or upload Resources (or substantially similar copies) to any public website, marketplace, shared drive accessible outside your organization, or social media platform;
  • share Resources with others outside your school/organization (including via email lists, file-sharing services, or “teacher groups”) unless the Resource expressly permits it;
  • remove or alter copyright notices, trademarks, watermarks, or attribution;
  • modify Resources and then distribute the modified version outside your classroom/organization;
  • use Resources to train, fine-tune, or develop machine learning or AI models, or to create datasets, without our prior written consent;
  • use Resources in any way that infringes intellectual property rights or violates law.

6.3 Attribution

If a Resource includes attribution requirements, you must comply with them.

6.4 Third-Party Content

Some Resources may include or reference third-party content. Your use of third-party content may be subject to separate terms and licenses.

7. Intellectual Property

The Site, Resources, and all content and materials on the Site (including text, graphics, logos, designs, compilations, and software) are owned by OCBeachTeacher or its licensors and are protected by copyright, trademark, and other laws. OCBeachTeacher and related names/logos are trademarks of OCBeachTeacher. You may not use our trademarks without prior written permission.

8. User Content 

If the Site allows you to submit, upload, post, or transmit content (including comments, reviews, lesson ideas, or other materials) (“User Content”):

  • You retain ownership of your User Content.
  • You grant OCBeachTeacher a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (for formatting), display, perform, distribute, and otherwise use your User Content in connection with operating, improving, and promoting the Site.
  • You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate law or third-party rights.

We may remove User Content at any time in our discretion.

9. Prohibited Conduct

You agree not to:

  • violate any applicable law or regulation;
  • infringe intellectual property, privacy, or other rights;
  • use the Site to exploit or harm minors;
  • attempt to gain unauthorized access to the Site, accounts, or systems;
  • interfere with or disrupt the Site (including by introducing malware, scraping, or automated access except as permitted by us in writing);
  • reverse engineer or attempt to derive source code except to the extent prohibited by law;
  • use the Site to send spam or unsolicited communications;
  • misrepresent your identity or affiliation.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy (link).

The Site is intended for teachers and other adults. We do not knowingly collect personal information from children under 13. If you believe a child has provided personal information to us, contact us at privacy@ocbeachteacher.com.

12. Links and Third-Party Services

The Site may contain links to third-party websites or services. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk.

13. Disclaimers

THE SITE AND RESOURCES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCBEACHTEACHER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, error-free, or that Resources will meet your requirements, be accurate, or produce particular educational outcomes. You are responsible for evaluating and adapting Resources for your students and circumstances.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL OCBEACHTEACHER OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR RESOURCES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCBEACHTEACHER’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, RESOURCES, OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) $100 OR (B) THE AMOUNTS YOU PAID TO OCBEACHTEACHER FOR ACCESS TO THE SITE/RESOURCES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in that case, the above limitations apply to the fullest extent permitted.

15. Indemnification

You agree to defend, indemnify, and hold harmless OCBeachTeacher and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Resources; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any law or third-party rights.

16. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you violated these Terms. Upon termination, the licenses granted to you under these Terms will end, and you must stop using the Site and Resources. Sections that by their nature should survive termination will survive (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution).

17. Governing Law

These Terms and any dispute arising out of or relating to these Terms, the Site, or Resources are governed by the laws of the State of Maryland, without regard to conflict of laws principles.

18. Dispute Resolution; Venue

Unless prohibited by applicable law, any legal action or proceeding arising out of or relating to these Terms, the Site, or Resources must be resolved by binding arbitration administered by the American Arbitration Association and in accordance with its commercial rules.

19. Injunctive Relief

You agree that unauthorized use of the Site or Resources may cause irreparable harm, and OCBeachTeacher may seek injunctive or equitable relief in addition to any other remedies.

21. Miscellaneous

  • Entire Agreement. These Terms (and any policies referenced) are the entire agreement between you and OCBeachTeacher regarding the Site.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect. 
  • No Waiver. Failure to enforce any provision is not a waiver.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
  • Force Majeure. We are not liable for delays or failures due to causes beyond our reasonable control.

22. California Residents 

If you are a California resident, you may have additional rights under California law.
